1. Acceptance of Terms
By accessing or using TalkForge (the “Service”), operated by TalkForge (“we,” “us,” or “our”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms in their entirety, you must not access or use the Service. These Terms constitute a legally binding agreement between you and TalkForge.
If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.
2. Eligibility
You must be at least 13 years of age to use the Service. If you are under the age of majority in your jurisdiction (18 in Ontario, Canada), you represent that your parent or legal guardian has reviewed and agreed to these Terms on your behalf. We reserve the right to request proof of age or parental consent at any time.
By using the Service, you represent and warrant that you meet all eligibility requirements. We reserve the right to terminate accounts or restrict access where eligibility requirements are not satisfied.
3. Account Registration
3.1 Account Creation
To access certain features of the Service, you must register for an account. You may register using Google OAuth or email and password. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete.
3.2 Account Security
You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to:
- Immediately notify us of any unauthorized use of your account or any other breach of security at support@talkforgeconvos.com
- Ensure you log out of your account at the end of each session
- Not share your credentials with any third party
- Not create multiple accounts to circumvent subscription limitations or access restrictions
We will not be liable for any loss or damage arising from your failure to comply with these security obligations.
4. Subscription Plans and Payments
4.1 Plan Overview
TalkForge offers the following subscription plans:
- Free Plan: 5 sessions per month at no charge
- Pro Plan: $14.99/month or $149.99/year — 30 practice sessions per month, custom scenarios, up to 2 AI characters per session
- Elite Plan: $29.99/month or $269.99/year — unlimited practice sessions, all Pro features plus Visual AI sessions and up to 3 AI characters per session
- Pro Lifetime: $59.99 one-time payment (limited to first 100 spots) — lifetime Pro access
4.2 Billing and Payment
All payments are processed through Stripe, a third-party payment processor. By providing payment information, you authorize TalkForge to charge the applicable fees to your payment method. All amounts are stated in US dollars (USD) unless otherwise specified. Prices are subject to applicable taxes as required by law.
4.3 Automatic Renewal
Monthly and annual subscriptions automatically renew at the end of each billing period unless cancelled at least 24 hours before the renewal date. You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period; you will retain access until that date.
4.4 Refund Policy
All subscription fees are non-refundable except where required by applicable law. In the event of a billing error or duplicate charge, please contact us at support@talkforgeconvos.com within 30 days of the charge and we will investigate and, if warranted, issue a correction.
4.5 Price Changes
We reserve the right to modify subscription pricing at any time. We will provide at least 30 days' notice of any price increases to existing subscribers via email. Continued use of the Service after the price change takes effect constitutes your agreement to the new pricing. Pro Lifetime subscribers are not subject to future price increases for the features included in their plan at the time of purchase.
5. Permitted Use and Restrictions
5.1 Permitted Use
Subject to these Terms, TalkForge grants you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service for your personal, non-commercial purposes.
5.2 Prohibited Conduct
You agree not to, and will not permit others to:
- Use the Service for any unlawful purpose or in violation of any applicable laws or regulations
- Attempt to gain unauthorized access to any part of the Service, other user accounts, or related systems
- Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Service
- Reproduce, duplicate, copy, sell, resell, or exploit any portion of the Service without our express written permission
- Use automated tools, bots, scrapers, or scripts to access or interact with the Service
- Upload, transmit, or distribute any malicious code, viruses, or harmful content
- Impersonate any person or entity or falsely represent your affiliation with any person or entity
- Use the Service to harass, abuse, threaten, or harm any individual
- Attempt to circumvent subscription limitations through technical or other means
- Use the Service in any manner that could damage, disable, overburden, or impair its infrastructure
6. User-Generated Content
6.1 Your Content
The Service may allow you to create custom scenarios, characters, and other content (“User Content”). You retain ownership of your User Content. By submitting User Content, you grant TalkForge a worldwide, non-exclusive, royalty-free licence to use, reproduce, modify, and display your User Content solely for the purpose of operating and improving the Service.
6.2 Content Standards
You are solely responsible for your User Content. You represent and warrant that your User Content does not:
- Violate any applicable law or regulation
- Infringe the intellectual property, privacy, or other rights of any third party
- Contain material that is defamatory, obscene, offensive, hateful, or harmful
- Contain personal information of third parties without their consent
- Impersonate any real person in a misleading or harmful manner
6.3 Content Removal
We reserve the right to remove any User Content that we determine, in our sole discretion, violates these Terms or is otherwise objectionable, without prior notice and without liability to you.
7. Intellectual Property
The Service and all its contents, features, and functionality — including but not limited to software, text, graphics, scenarios, AI characters, voice output, scoring systems, and design — are owned by TalkForge and are protected by applicable Canadian and international intellectual property laws. Nothing in these Terms grants you any right, title, or interest in or to the Service or its content except for the limited licence expressly set forth in Section 5.1.
“TalkForge” and associated logos are trademarks of TalkForge. You may not use our trademarks without our prior written permission.
8. AI-Generated Content and Limitations
TalkForge uses artificial intelligence to generate conversation responses, character dialogue, voice output, and performance scores. You acknowledge and agree that:
- AI-generated responses are produced by automated systems and may be inaccurate, incomplete, or unexpected
- The Service is designed for practice and educational purposes only and does not constitute professional advice of any kind, including psychological, medical, legal, or career advice
- AI character responses should not be relied upon as guidance for real-world decisions
- Performance scores are generated algorithmically and are approximate assessments intended for practice purposes only
- We are not responsible for any decisions you make based on your use of or experience with the Service
9. Third-Party Services
The Service integrates with third-party services including Stripe (payment processing), Google (authentication), Supabase (data infrastructure), and OpenAI (AI conversation generation, voice transcription, and image generation). Your use of these services is subject to their respective terms of service and privacy policies. We are not responsible for the practices of these third parties.
The Service may contain links to third-party websites. We do not endorse and are not responsible for the content, privacy practices, or availability of any third-party websites.
10. Privacy
Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the collection and use of your information as described in our Privacy Policy.
11. Disclaimers
The service is provided “as is” and “as available” without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the service will be uninterrupted, error-free, secure, or free of viruses or other harmful components.
We do not warrant that the Service will meet your requirements or that results obtained from using the Service will be accurate or reliable. TalkForge makes no guarantees regarding improvements in communication skills or performance outcomes from use of the Service.
12. Limitation of Liability
To the maximum extent permitted by applicable law, in no event shall TalkForge, its officers, directors, employees, agents, or licensors be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including but not limited to loss of profits, loss of data, loss of goodwill, or interruption of business, arising out of or in connection with these Terms or the use of or inability to use the Service.
To the maximum extent permitted by applicable law, our total aggregate liability arising out of or in connection with these Terms or the Service shall not exceed the greater of (a) the total amount you paid us in the 12 months preceding the claim, or (b) one hundred US dollars ($100 USD).
Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability. In such jurisdictions, our liability shall be limited to the greatest extent permitted by law.
13. Indemnification
You agree to defend, indemnify, and hold harmless TalkForge and its officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in connection with: (a) your use of the Service; (b) your User Content; (c) your violation of these Terms; or (d) your violation of any rights of a third party.
14. Termination
14.1 Termination by You
You may terminate your account at any time through your account settings. Termination does not entitle you to any refund of prepaid subscription fees.
14.2 Termination by Us
We reserve the right to suspend or terminate your access to the Service, with or without notice, if we reasonably believe you have violated these Terms, engaged in fraudulent activity, or for any other reason in our sole discretion. Upon termination, your right to use the Service ceases immediately.
14.3 Effect of Termination
Sections 7, 11, 12, 13, 15, and 16 shall survive any termination of these Terms.
15. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles. You agree that any dispute arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of Ontario, Canada.
Before initiating formal legal proceedings, you agree to attempt to resolve any dispute informally by contacting us at support@talkforgeconvos.com. We will attempt to resolve the dispute within 30 days of receipt of your notice.
16. General Provisions
16.1 Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and TalkForge with respect to the Service and supersede all prior agreements, representations, and understandings.
16.2 Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that the remaining Terms remain in full force and effect.
16.3 Waiver
Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
16.4 Assignment
You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations without restriction.
16.5 Changes to Terms
We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on the Service and updating the effective date, and where appropriate, by sending an email notification. Your continued use of the Service after changes take effect constitutes your acceptance of the revised Terms.
